between you (“user”) and Ranked Media, Inc., for the use of Ranked, the app. By installing the
app on your mobile device, you declare yourself in agreement with these conditions. If you do

Terms of Service for Ranked
Welcome to Ranked, an influencer marketing platform connecting brands and influencers. By
using Ranked, you agree to comply with these Terms of Service. Please read them carefully.
Acceptance of Terms
By accessing or using Ranked, you agree to be bound by these Terms of Service and our Privacy
Policy. If you do not agree to these terms, please do not use the platform.
User Accounts
Users must create an account to access Ranked. You are responsible for maintaining the
confidentiality of your account credentials and for all activities that occur under your account.
Platform Usage
Ranked is intended for legitimate influencer marketing activities. Users agree not to use the
platform for illegal or unauthorized purposes, including spamming, harassment, or fraudulent
activities.
Data Deletion
At Ranked, we respect the privacy and rights of our creators. As a creator on our platform, you
have the right to request the deletion of your personal data at any time. This includes all
information that you have provided to us or that has been collected during your use of our
services. To exercise this right, simply contact our support team through the provided channels,
and we will promptly process your request in accordance with applicable laws and regulations.
Please note that while we will make every effort to delete your data, certain information may be
retained for legal, security, or operational reasons as permitted by law.
Content Guidelines
Users must adhere to content guidelines when creating and sharing content on Ranked. Content
must not violate intellectual property rights, contain offensive material, or promote illegal
activities.
Intellectual Property
Users retain ownership of their content but grant Ranked a non-exclusive license to use,
reproduce, and distribute content for platform-related purposes. Ranked respects intellectual
property rights and expects users to do the same.
Originality of Work
All content submitted, uploaded, or shared by creators on the platform must be their original
work, free from any third-party claims, including copyright, trademark, or intellectual property
disputes. Creators are strictly prohibited from using artificial intelligence (AI) tools to alter,
replicate, or modify works stolen from other creators. Any act of copying, plagiarizing, or
misappropriating content from other accounts will result in the immediate termination of the
offending creator’s account. By submitting content, creators affirm that they hold all necessary
rights and permissions to the material and that it does not infringe upon or violate the rights of
any third party. Ranked reserves the right to request proof of originality at any time and to take
appropriate action if content is found to be non-compliant.
Content Moderation and Removal
Ranked reserves the sole and absolute right to review, assess, and remove any creative content
submitted, uploaded, or shared by creators on its platform that is deemed not to meet the quality
standards, guidelines, or requirements set forth by Ranked or its brand partners.
This right includes, but is not limited to, the removal of content that:
1. Fails to align with the creative brief, campaign requirements, or brand standards.
2. Contains offensive, inappropriate, or prohibited material as defined in Ranked’s Terms of
Service or community guidelines.
3. Violates intellectual property laws, infringes on third-party rights, or is otherwise
unlawful.
4. Is identified as fraudulent, misleading, or misrepresentative of the creator’s originality or
authenticity.
Ranked’s determination regarding the adequacy and acceptability of creative content shall be
final and binding. The creator acknowledges and agrees that any removed content shall not
qualify for payment, and Ranked is not obligated to provide a detailed justification for its
decision.
Transactions and Payments
Brands and influencers may engage in paid collaborations on Ranked. Transactions are subject to
payment processing fees, and Ranked is not responsible for disputes between users regarding
payments or services.
Payment Conditionality
Ranked and/or the sponsoring brand funding the campaign reserves the right to withhold
payment to the creator if the delivered content fails to meet the agreed-upon quality standards or
if any form of fraud, misrepresentation, or breach of the platform’s terms of service is detected.
This includes, but is not limited to, non-original content, or failure to adhere to campaign
requirements. All determinations regarding quality and compliance shall be made at the sole
discretion of Ranked and/or the sponsoring brand.
Non-Circumvention and Future Compensation:
By participating in the Ranked platform, Creator/Influencer agrees not to directly or indirectly
contact, solicit, engage, or otherwise transact with any brand or client to whom they were
introduced or presented through Ranked, without prior written consent from Ranked.
Furthermore, Creator/Influencer acknowledges and agrees that Ranked shall be entitled to no less
than twenty-five percent (25%) of any and all compensation, fees, or other consideration arising
from any future engagements, campaigns, partnerships, or collaborations between the
Creator/Influencer and the brand introduced via the Ranked platform, whether initiated during or
after the termination of their participation in Ranked. This clause shall survive the termination of
the Creator/Influencer’s use of the Ranked platform.
Data Privacy
Ranked collects and processes personal data according to our Privacy Policy. By using the
platform, you consent to the collection, use, and sharing of your data as described in the Privacy
Policy.
Third Party Data Collection
Ranked is committed to enhancing your experience by gathering certain user data through
external applications. This data collection allows us to provide personalized services, improve
platform functionality, and better understand user preferences. We may collect information such
as usage patterns, device information, and interaction data from third-party applications that you
integrate with our platform. Rest assured, any data gathered will be handled in accordance with
our strict privacy policies, ensuring that your information is used responsibly and securely. Our
goal is to utilize this data to continually refine our services and offer you a more tailored and
seamless experience on Ranked.
Termination of Services
Ranked reserves the right to suspend or terminate user accounts that violate these Terms of
Service or engage in prohibited activities. Users may also terminate their accounts at any time.
Disclaimer of Warranties
Ranked provides the platform on an “as is” and “as available” basis. We do not guarantee the
accuracy, reliability, or availability of the platform and disclaim any warranties, express or
implied.
Limitation of Liability
Ranked is not liable for any damages or losses arising from the use of the platform, including but
not limited to direct, indirect, incidental, or consequential damages.
Governing Law
These Terms of Service are governed by the laws of the state of Delaware, United States, without
regard to conflict of laws principles.
Changes to Terms
Ranked may update or modify these Terms of Service from time to time. Continued use of the
platform constitutes acceptance of the revised terms.
Arbitration notice: except if you opt-out and except for certain types of disputes described in the
arbitration section below, you agree that disputes between you and ranked will be resolved by
binding, individual arbitration and you waive your right to participate in a class action lawsuit or
class-wide arbitration.
Additional Terms
1. You must be at least 14 years old to use the website or application. If you are under
the age of 14, parents or guardians must supervise your created account.
2. 3. You may not post violent, nude, partially nude, discriminatory, unlawful, infringing,
hateful, pornographic or sexually suggestive photos or other content via the website

You are responsible for any activity that occurs through your account and you agree
you will not sell, transfer, license or assign your account, followers, username, or
any account rights. With the exception of people or businesses that are expressly
authorized to create accounts on behalf of their employers or clients, Ranked
prohibits the creation of and you agree that you will not create an account for anyone
other than yourself. You also represent that all information you provide or provided
to Ranked upon registration and at all other times will be true, accurate, current and

and accuracy.
You agree that you will not solicit, collect or use the login credentials of other
Ranked users.
5. You are responsible for keeping your password secret and secure.
6. 7. You must not defame, stalk, bully, abuse, harass, threaten, impersonate or intimidate
people or entities and you must not post private or confidential information via the
Website or application, including, without limitation, your or any other person’s
credit card information, social security or alternate national identity numbers, non-
public phone numbers or non-public email addresses.
You may not use the website or application for any illegal or unauthorized purpose.
8. You agree to comply with all laws, rules and regulations (for example, federal, state,
local and provincial) applicable to your use of the website or application and your
Content (defined below), including but not limited to, copyright laws.
You are solely responsible for your conduct and any data, text, files, information,
usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical

(collectively, “Content”) that you submit, post or display on or via the website or
application.
You must not change, modify, adapt or alter the website or application or change,
modify or alter another website so as to falsely imply that it is associated with the
website or application or Ranked.
10. You must not access Ranked’s private API by means other than those permitted by
Ranked.
11. You must not create or submit unwanted email, comments, likes or other forms of
commercial or harassing communications (a/k/a “spam”) to any Ranked users.
12. You must not use domain names or web URLs in your username without prior
written consent from Ranked.
13. You must not interfere or disrupt the website or application or servers or networks
connected to the website or application, including by transmitting any worms,
viruses, spyware, malware or any other code of a destructive or disruptive nature.
You may not inject content or code or otherwise alter or interfere with the way any
Ranked page is rendered or displayed in a user’s browser or device.
14. You must not create accounts with the website or application through unauthorized
means, including but not limited to, by using an automated device, script, bot, spider,
crawler or scraper.
15. You must not attempt to restrict another user from using or enjoying the website or
application and you must not encourage or facilitate violations of these Terms of Use
or any other Ranked terms.
16. Violation of these Terms of Use may, in Ranked’s sole discretion, result in
termination of your Ranked account. You understand and agree that Ranked cannot
and will not be responsible for the Content posted on the website or application and
you use the website or application at your own risk. If you violate the letter or spirit
of these Terms of Use, or otherwise create risk or possible legal exposure for
Ranked, we can stop providing all or part of the website or application to you.
General Conditions
1. We reserve the right to modify or terminate the application or your access to the
website or application for any reason, without notice, at any time, and without
liability to you. You can deactivate your Ranked account by contacting us at:
info@ranked.media. If we terminate your access to the website or application or you
contact us to deactivate your account, your photos, comments, likes, friendships, and
all other data will no longer be accessible through your account (e.g., users will not
be able to navigate to your username and view your photos), but those materials and
data may persist and appear within the Website or application (e.g., if your Content
has been reshared by others).

will immediately cease.
We reserve the right, in our sole discretion, to change these Terms of Use

FOUND THROUGH THE WEBSITE OR APPLICATION ARE SOLELY
BETWEEN YOU AND THE THIRD PARTY. You may choose, at your sole and
absolute discretion and risk, to use applications that connect the Website or
application or your profile on the Website or application with a third-party website or
application (each, an “Application”) and such Application may interact with, connect
to or gather and/or pull information from and to your Website or application profile.
By using such Applications, you acknowledge and agree to the following: (i) if you
use an Application to share information, you are consenting to information about
your profile on the Website or application being shared; (ii) your use of an
Application may cause personally identifying information to be publicly disclosed
and/or associated with you, even if Ranked has not itself provided such information;
and (iii) your use of an Application is at your own option and risk, and you will hold
the Ranked Parties (defined below) harmless for activity related to the Application.
9. You agree that you are responsible for all data charges you incur through use of the
Website or application.
10. We prohibit crawling, scraping, caching or otherwise accessing any content on the
Website or application via automated means, including but not limited to, user
profiles and photos (except as may be the result of standard search engine protocols
or technologies used by a search engine with Ranked’s express consent).
